Terms of Use
The ground rules for using this website and its on-site assistant. Use the site fairly, the words and design we build with are ours, and the real terms of any work we do together live in a separate agreement.
01About these terms and acceptance
This website is operated by Vernius Limited (“Vernius”, “we”, “us”, “our”), a company registered in England & Wales under company number 17114305. “You” and “your” mean the visitor using this site.
Registered office:
1 Albion Place, London W6 0QTBy accessing or using the site you accept these terms. If you do not agree with them, do not use the site. We may update these terms from time to time. The version in force is the one published here, with the “Last updated” date shown at the top of this page.
These terms govern use of the website only. They are separate from the terms that govern any paid work, which are dealt with below under Enquiries are not a contract.
02Using the site
You may access the site for lawful purposes, to learn about what we do and to get in touch. You must not:
- use the site unlawfully or for any unlawful purpose;
- attempt to gain unauthorised access to the site, its servers, or any connected system or data;
- interfere with, disrupt, or place an unreasonable load on the site or its infrastructure, including denial-of-service style activity;
- scrape, crawl, harvest, or otherwise systematically extract content or data by automated means without our written permission;
- reverse engineer, decompile, or attempt to derive source code or model internals, except to the extent this restriction cannot lawfully be prevented;
- introduce malware or malicious code;
- submit information that is unlawful, infringing, or that you know to be false or misleading;
- infringe our or any third party’s intellectual property or other rights.
Permission to use the site is conditional on you complying with these terms. We may restrict or withdraw access for any breach. Fuller detail on acceptable conduct is in our Acceptable Use Policy.
03Intellectual property
The content, design, code, branding, and other materials on the site are owned by Vernius or licensed to us, and are protected by law. You may view and share pages for your own personal reference.
You may not copy, republish, redistribute, or reuse them commercially without our prior written permission. All rights not expressly granted are reserved.
04The on-site assistant
The site includes an assistant that lets you describe your problem and generates an automated reply. Your messages are sent to a third-party AI provider (Anthropic) via Vercel’s AI gateway to produce that response. The provider processes these inputs to generate the reply and does not use them to train its models.
Responses are generated automatically and may be incomplete, inaccurate, or out of date. They are not professional, technical, legal, or other advice. Do not rely on them without confirming the position with us.
Do not enter sensitive, confidential, or third-party personal data into the assistant. Your messages are handled in accordance with our Privacy Policy.
You must not misuse the assistant. In particular, you must not:
- use prompt injection, or attempt to manipulate or jailbreak the assistant;
- attempt to extract training data, model weights, system prompts, or other model internals;
- submit automated or high-volume queries.
These prohibitions sit alongside our Acceptable Use Policy.
05Enquiries are not a contract
Sending a brief, completing a form, or chatting with the assistant starts a conversation only. It does not create a binding agreement or oblige either of us to proceed. Nothing on the site is an offer capable of acceptance.
Any paid work, whether a scoped fixed-price project, a retainer or hosted service, a custom handoff build, or a productized service, is governed by our Terms of Business and a separate written Order (also called a Statement of Work). Those documents, not this site, set out scope, price, and terms, and take precedence over anything published here.
06No professional advice
Site content is provided in good faith and for general information only. It is not professional, technical, or legal advice to be acted on without speaking to us about your specific situation. Subject to the non-excludable matters set out under Disclaimers and liability below, you act on site content at your own risk.
07Availability and changes
We do not guarantee that the site will be available, uninterrupted, timely, secure, or error-free. We may change, suspend, restrict, or withdraw all or part of the site, and update these terms, at any time and without notice or liability.
Continued use of the site after we change these terms indicates your acceptance of the updated terms.
08Links to other sites
Links to third-party sites are provided for convenience only. We do not control, endorse, or accept responsibility for their content, availability, or handling of your data. Accessing linked sites is at your own risk and subject to their own terms.
09Disclaimers and liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited. These terms are the terms of a business operator, and nothing in them affects a consumer’s statutory rights under the Consumer Rights Act 2015.
Subject to the paragraph above, and so far as permitted by law, we exclude all implied terms, conditions, and warranties relating to the site and its content, including as to accuracy, completeness, satisfactory quality, fitness for purpose, and non-infringement.
Subject to the first paragraph above, and to the fullest extent permitted by law, we are not liable for any loss or damage arising from your use of, or inability to use, the site or reliance on its content, including any indirect or consequential loss. This site is free and informational. Liability for paid work is dealt with in our Terms of Business, not here.
Severability and third parties. If any provision is found to be unenforceable, the remaining provisions continue in force. A person who is not a party to these terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce them.
10Governing law
These terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by and construed in accordance with the law of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
